1. Agreement to Terms
By accessing or using UseModra ("the Service"), operated by UseModra / Modra ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
UseModra provides an AI-powered customer service automation platform for e-commerce businesses. The Service includes automated email classification, response generation, order lookup via Shopify integration, and a client dashboard. The Service connects to your Gmail and Shopify accounts to process customer inquiries on your behalf.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into this agreement. By using the Service, you represent that you have the right to grant us access to the third-party accounts (Gmail, Shopify) you connect.
4. Account & Access
- You are responsible for maintaining the security of your account credentials and connected third-party accounts.
- You must provide accurate and complete information during registration.
- You are responsible for all activity that occurs under your account.
- We reserve the right to suspend or terminate accounts that violate these terms.
5. Subscription & Payment
- The Service is offered on a monthly subscription basis at the price displayed at the time of purchase (currently €49/month).
- Payments are processed through Stripe. By subscribing, you also agree to Stripe's Terms of Service.
- Subscriptions automatically renew each month unless cancelled.
- You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
- We reserve the right to change pricing with 30 days written notice.
- If payment fails, we may pause your account until payment is resolved.
6. Refund Policy
All sales are final. No refunds will be issued for any subscription period that has already begun. If you experience a technical issue that prevents the Service from functioning, contact us and we will work to resolve it or provide a credit at our discretion.
7. Use of AI & Automated Responses
- The Service uses artificial intelligence to classify emails and generate responses. AI-generated responses are not guaranteed to be accurate, complete, or appropriate in all situations.
- You acknowledge that AI may occasionally produce incorrect or unsuitable responses.
- When the AI cannot confidently handle an email, it will not respond and will leave the email for you to handle manually.
- You are solely responsible for monitoring the emails processed by the Service and for the accuracy of any responses sent on your behalf.
- We are not liable for any damages, losses, or complaints arising from AI-generated responses sent to your customers.
- You agree to review your dashboard regularly and handle escalated emails promptly.
8. Reply Limits & Usage
- Each subscription plan includes a monthly allowance of AI replies (e.g. Starter: 500/month, Growth: 2,000/month, Scale: 5,000/month, Enterprise: 15,000/month).
- One AI reply equals one usage credit, regardless of conversation length, thread history, or processing complexity. Long multi-step conversations and rich context analysis do not count for additional credits.
- The following actions count as 1 AI reply credit:
- An automatic AI-generated reply to an incoming customer email (whether triggered by Gmail push notification or our background cron).
- Each use of the "Generate with AI" button in your dashboard — regardless of whether the generated reply is ultimately sent. The credit is consumed at the moment the AI generates the text.
- Each email re-answered via the "Re-sync emails" action.
- The following do NOT count as credits and are free to use:
- Manual replies you write and send yourself.
- Marking an email as resolved.
- Deleting/dismissing an email.
- Escalations forwarded to your team (no AI reply is generated).
- If you exceed your monthly allowance, automated replies pause until the next billing cycle or until you upgrade your plan.
- Unused credits do not roll over to the next month.
- The Service may use additional context (such as previous emails in a conversation thread, customer order data, or your configured FAQ) to improve reply quality. This is included in the standard credit cost.
8. Third-Party Integrations
- The Service integrates with Gmail (Google) and Shopify. By connecting these accounts, you grant us permission to read incoming emails, send replies, look up orders, and create discount codes on your behalf.
- We only access the minimum data necessary to provide the Service.
- We are not responsible for changes, outages, or issues with third-party services (Google, Shopify, Stripe) that may affect the functionality of our Service.
- You are responsible for ensuring your use of our Service complies with the terms of service of any connected third-party platforms.
9. Data & Privacy
- We process customer email data solely to provide the Service. See our Privacy Policy for details.
- We do not sell, share, or use your data or your customers' data for any purpose other than providing the Service.
- Email content, order data, and generated responses are stored securely and retained for the duration of your subscription plus 30 days after cancellation.
- You are responsible for ensuring you have the legal right to process your customers' data through our Service and for complying with applicable data protection laws (including GDPR).
10. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or to violate any laws.
- Send spam, phishing, or fraudulent emails through the Service.
- Attempt to reverse-engineer, copy, or resell the Service.
- Interfere with or disrupt the Service or its infrastructure.
- Use the Service to process data you do not have the right to process.
- Exceed reasonable usage limits that negatively impact other users.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated responses will be accurate or suitable.
- In no event shall UseModra, its owners, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, customers, or business opportunities.
- Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 3 months preceding the claim.
- You agree to use the Service at your own risk and acknowledge that AI-generated content may contain errors.
12. Indemnification
You agree to indemnify, defend, and hold harmless UseModra and its owners, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the Service.
- AI-generated responses sent to your customers.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Any complaint or claim made by your customers related to automated responses.
13. Service Availability & Modifications
- We strive for high availability but do not guarantee uptime.
- We may modify, update, or discontinue features of the Service at any time.
- We will provide reasonable notice of material changes.
- Scheduled maintenance will be communicated in advance when possible.
14. Termination
- You may cancel your subscription at any time.
- We may terminate or suspend your access immediately, without notice, for conduct that we believe violates these Terms or is harmful to other users or us.
- Upon termination, your right to use the Service ceases immediately. Data will be retained for 30 days, after which it will be permanently deleted.
15. Governing Law & Disputes
These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms or the Service shall be resolved in the courts of the Netherlands. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.
16. Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.
